Official giveaway rules

1. Sponsor

This giveaway (the "Promotion") is sponsored by Remy Cooper Music, a sole proprietorship registered with the Dutch Chamber of Commerce (KvK 61473413), trading as VAULT by Toolkit ("Sponsor"). Sponsor's registered geographic address is on file with the KvK.

2. Eligibility

The Promotion is open to natural persons who are at least 18 years of age (or the age of majority in their jurisdiction, whichever is greater) at the time of entry. Entry is open globally, except where prohibited or restricted by law.

The following are not eligible:

• Employees, contractors, officers, and directors of Sponsor and its affiliates
• Immediate family members (spouse, parent, child, sibling) and household members of the above
• Residents of any jurisdiction where this Promotion is void, restricted, or would require registration, bonding, or licensing that has not been obtained
• Residents of Quebec, Cuba, Iran, Syria, North Korea, the Crimea region, and Rhode Island

It is each entrant's responsibility to determine whether participation is lawful in their jurisdiction. Void where prohibited.

3. Promotion period

Each giveaway has its own start and end date and time, displayed on the Giveaway Page (the "Promotion Period"). All times are interpreted in the Europe/Amsterdam time zone unless otherwise stated on the Giveaway Page. Entries received outside the Promotion Period will not be considered. Sponsor's servers are the official timekeeper.

4. How to enter

Required actions (one base entry)

To receive one (1) base entry, an entrant must, during the Promotion Period, complete the actions listed under the "Required to enter" section of the Giveaway Page. These typically include creating a free VAULT account, uploading a minimum number of songs, completing a profile, and one or more social-platform actions (e.g. follow, comment). The exact list is shown on the Giveaway Page at the time of entry.

All required actions must be completed before the end of the Promotion Period and must remain in place through the winner-selection date for the entry to qualify.

Free alternative method of entry (AMOE)

No purchase or social-media follow is necessary to enter. To enter without completing the social actions, send an email to remy@toolkit.music with the subject line "VAULT Giveaway Entry", include the slug or title of the giveaway you are entering (as shown in the URL of the Giveaway Page), and include your full name, email address, and country of residence. One email per person per giveaway. Emails must be received before the end of the Promotion Period. AMOE entrants receive one (1) base entry on equal footing with online entrants.

Optional bonus actions (additional weighted entries)

Eligible entrants who have completed the required actions may earn additional weighted entries by completing the bonus actions listed under the "Earn more entries" section of the Giveaway Page. The available bonus actions and the number of additional entries each one is worth are shown on the Giveaway Page at the time of entry. Bonus actions may include, for example, following Sponsor on additional social platforms, creating playlists or public links in VAULT, inviting friends, or holding or upgrading to a paid VAULT subscription during the Promotion Period.

Limit one base entry per person and per VAULT account, per giveaway. Duplicate accounts, automated entries, or entries made through third-party services will be void. Sponsor reserves the right to determine, in its sole discretion, what constitutes a valid entry.

5. Prize

The prize, the number of winners, and the approximate retail value (ARV) are listed on the Giveaway Page. Where the prize is third-party software or hardware, it will typically be delivered as a digital serial code or activation link by email. Actual value may vary based on currency and current third-party pricing. No cash or other substitution will be offered, except that Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

The prize is awarded "as is" with no warranty by Sponsor. Any third party whose product is awarded as a prize is not a sponsor of, and has no association with, the Promotion unless explicitly stated otherwise on the Giveaway Page. Any download, installation, activation, taxes, or hardware required to use the prize is the winner's responsibility.

6. Winner selection

Within fourteen (14) days after the end of the Promotion Period, one (1) winner will be selected by weighted random drawfrom all eligible entries, where each entry's weight equals the total number of entries (base + bonus) accumulated by that entrant. AMOE entries are weighted equally with online base entries. Odds of winning depend on the total number and weight of eligible entries received.

The draw is performed by Sponsor's automated giveaway system using a pseudo-random selection over the list of eligible entries weighted by their total entry count. The list of eligible entries, their weights, and the draw result are recorded at the moment of the draw and retained for audit until the prize is claimed.

7. Winner notification and claim period

The winner will be notified by email at the address associated with their VAULT account or AMOE entry. The winner must respond and confirm acceptance of the prize within fourteen (14) daysof the notification email being sent. If the winner fails to respond, declines the prize, or is determined to be ineligible, the prize will be forfeited and an alternate winner may be selected by the same method, at Sponsor's discretion.

Where the prize is delivered as a digital serial code, license key, voucher, activation link, or similar redeemable instrument, the winner must redeem and activate it with the relevant third-party platform within forty-eight (48) hoursof delivery. Sponsor only guarantees that the code is valid and redeemable during this 48-hour window. After this window Sponsor is not responsible for codes that have expired, been revoked, been reissued, become inactive, or otherwise stopped working for any reason, and is under no obligation to replace, reissue, or substitute the prize. It is the winner's responsibility to redeem the code promptly and to confirm successful activation; any redemption issues must be reported to remy@toolkit.music within the 48-hour window.

8. Verification of eligibility

Sponsor reserves the right to verify the eligibility of any entrant or winner, including:

• Verifying that Instagram and TikTok follows and the launch-post comment are genuine and remain active through the end of the Promotion Period
• Verifying VAULT account authenticity, uploaded content ownership, and that profile information is accurate
• Requesting government-issued photo identification and proof of address before awarding the prize

Sponsor may disqualify any entrant for false, misleading, or unverifiable attestations; for unfollowing, deleting comments, or removing required content before the prize is awarded; for using fraudulent accounts; or for any attempt to manipulate the entry mechanic. All decisions by Sponsor are final and binding.

9. Taxes

Winners are solely responsiblefor any income, gambling, or other taxes, duties, and fees applicable to the prize in their own jurisdiction. Sponsor will not withhold or report tax on the winner's behalf except where required by law.

10. Publicity

Except where prohibited, by accepting the prize the winner grants Sponsor permission to use their first name, last initial, country, VAULT username, artist name (where provided in their VAULT profile), and likeness (where voluntarily provided) for promotional purposes in any media, worldwide, without additional compensation or notice.

11. Privacy and data handling

Personal data collected in connection with this Promotion is processed by Sponsor as data controller in accordance with the EU General Data Protection Regulation (GDPR) and the VAULT Privacy Policy. The lawful basis for processing entry data is performance of the Promotion (contract) and, where applicable, your consent. Marketing email subscription requires separate, explicit opt-in and is not a condition of entry. Entrants have the right to access, correct, delete, port, and restrict processing of their personal data, and to lodge a complaint with their local supervisory authority. Entry data will be retained only as long as necessary to administer the Promotion and meet legal obligations (no longer than 90 days after the prize is awarded).

12. Platform disclaimer

This promotion is in no way sponsored, endorsed or administered by, or associated with Instagram, Meta Platforms, TikTok, or any other platform. Entrants release these platforms from any and all liability arising from or related to the Promotion.

13. Limitation of liability

To the fullest extent permitted by law, Sponsor and its affiliates, officers, employees, and agents are not liable for any loss, damage, injury, or claim arising out of participation in the Promotion or receipt or use of the prize, including without limitation technical failures, lost or delayed entries, unauthorized access, or events beyond Sponsor's reasonable control. Nothing in these rules limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded under Dutch law.

14. Governing law and disputes

These rules and the Promotion are governed by the laws of the Netherlands, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with the Promotion shall be submitted to the exclusive jurisdiction of the District Court of Amsterdam, the Netherlands, except where mandatory consumer protection law grants the entrant the right to bring proceedings in their country of residence.

15. Winner announcement

The winner's first name, last initial, country, and VAULT username will be published on the Giveaway Page within thirty (30) days after the prize is claimed. A list of winners for any past giveaway may also be requested by emailing remy@toolkit.music within ninety (90) days after the end of the relevant Promotion Period.
